Terms Of Service
Quotes & Contracts
Quotes provided to prospects will be honored for 30 days. A new quote will then be provided upon request. Contracts that have been written, but not signed by the client will only be accepted within 30 days of the delivery date. A new contract may be drawn up upon request.
Authorization
When you engage M5 Services for the specific purpose of developing and/or improving a website, you authorize us to access you hosting account, and authorize your web hosting service to provide us with "write permission" for the your web pages, cgi-bin directories and any other directories or programs which need to be accessed for this project including mysql databases. You also authorize us to publicize the completed web site to search engines and other web directories and indexes.
Web Hosting
You must understand that any web hosting requires a separate contract with the hosting provider. You agree to select a web hosting service which allows us full access to the website and a cgi-bin directory via FTP and telnet. You further understand that if the web hosting service's operating system is not a Unix system, or there are limitations in place that will not allow some standard software to work, providing a substitute may incur additional charges.
Content
You are responsible for writing and providing the content for your web site unless otherwise specified or agreed upon.
Software
In an effort to save our clients money, we usually recommend using open source software so the client will not be required to pay licensing fees for the use of the program. If you opt to use a licensed software program that requires licensing fees, you are solely responsible for the payment of these fees. Software programs have standard functionality and are customized by us during the design process to meet your needs as best possible. Any additional functionality beyond the standard parameters built into the software is dependent upon the availability of add-on modules. Modifying any software program or installing additional modules beyond that specified in the design estimate or after the site is completed will be billed at our normal hourly rate.
Copyright & Ownership
Upon completion of the project, Just M5 Services transfers all rights and ownership of CUSTOM designs and programming written by M5 Web Design to the client. Software and third party graphics or programs are not transferred to the client and remain under copyright of their respective owners.
M5 Web Design reserves the right to resell custom designed web sites that remain unpaid by the original client, unaccepted mockups or other graphics created by Just M5 Web Design but not in legal use by the client.
M5 Web Design reserves the right to display websites and graphics that have been designed by M5 on their website, and in any marketing material to aid as examples of our work.
Development & Delivery
M5 Services understands the importance of completing projects in a timely manner. We agree to complete the web design project within 60 days from the date of contract signing. If the client does not supply M5 Services with complete text,graphic content and other requested materials for the contracted client within 30 days of contract signing, the contract becomes void and all deposits paid by the client are forfeited. The client may request a Project Extension in writing to M5 Services for an additional fee of 20% of the project total cost for every 30 days of extension. All extension fees are due upon agreement of the extension between M5 Services andthe client.
Laws Affecting Electronic Commerce
From time to time governments enact laws and levy taxes and tariffs affecting Internet electronic commerce. You agree that you are solely responsible for complying with such laws, taxes, and tariffs, and will hold harmless, protect, and defend us and our subcontractors from any claim, suit, penalty, tax, or tariff arising from the your exercise of Internet electronic commerce.
